What this page covers
- These Subscription Terms govern subscriptions you purchase through the plans listed on our Pricing page. They are in addition to our Terms of Use and Privacy Policy.
- Subscriptions renew automatically until you cancel. There is no free trial period.
- Subscription payments are non-refundable once the applicable services have been provided, except where a refund is required by law. See Section 7.
- Purchasing a subscription does not by itself create an accountant-client engagement. Scope is set by a written engagement letter. See Section 3.
- If anything here conflicts with a signed engagement letter, the engagement letter controls for that engagement.
1. Who these terms are between
These Subscription Terms are an agreement between you and Master Tax USA INC (“Master Tax USA,” “we,” “us,” or “our”), a firm with offices at 2134 Broadway, Suite 101, Astoria, NY 11106. By clicking “Subscribe securely” on the Pricing page and completing checkout, you agree to these Subscription Terms, the Terms of Use, and the Privacy Policy. If you do not agree, do not subscribe.
You represent that you are at least 18 years old, that you are authorized to use the payment method you provide, and that the information you provide at checkout is accurate.
2. Plans, prices, and currency
The plans, prices, and billing frequencies currently offered are the ones shown on the Pricing page at the time you subscribe. All amounts are stated and charged in United States dollars. Monthly plans are charged once each month. Quarterly plans are charged once every three months. The amount and billing frequency you selected are confirmed to you by Stripe at checkout and on each invoice.
We may change plan pricing prospectively. A price change does not affect a billing period that has already been charged; it takes effect on a following renewal, and we will give you notice by email or through the Site before it applies to your subscription. If you do not accept a price change, your remedy is to cancel before the renewal on which it takes effect, as described in Section 6.
3. A subscription is not an engagement letter
Consistent with Section 5 of our Terms of Use, we provide paid professional services only under a written engagement letter countersigned by an authorized representative of Master Tax USA INC. Purchasing a subscription is a payment arrangement. It does not, by itself, create an accountant-client relationship, obligate us to accept you as a client, or define the scope of any work.
The engagement letter sets out scope, deliverables, the returns or periods covered, the authorities and consents required (including any consent required under Internal Revenue Code Section 7216), and the limitation of liability for that engagement. To the extent of any conflict between these Subscription Terms and your engagement letter, the engagement letter controls for that engagement.
We may decline or discontinue a subscription, including because of a conflict of interest, an inability to verify identity, a professional-standards concern, or non-payment. If we decline to begin work before any services have been provided for a billing period you have paid for, we will refund that billing period.
4. Automatic renewal
Subscriptions renew automatically. When you subscribe, you authorize us and our payment processor to charge your payment method the plan amount on a recurring basis at the frequency you selected, monthly or once every three months, until you cancel. There is no free trial period, and the first charge is taken at checkout.
Renewal charges continue at the then-current price for your plan. You are responsible for keeping a valid payment method on file. If a renewal charge fails, we may retry the charge, suspend services, or cancel the subscription.
5. Payment processing
Subscription payments are processed by Stripe, Inc. through Stripe-hosted checkout. Card details are entered on Stripe’s pages, not on this website, and this website does not collect or store your card number. Your use of Stripe’s checkout is also subject to Stripe’s own terms and privacy notice. See Section 5 of our Privacy Policy reference to payment processing for how we handle the information Stripe returns to us.
Promotion codes, where offered, apply only as configured at the time of redemption and may be changed or withdrawn for future subscriptions at any time. A promotion code that has already been applied to an active subscription continues to apply according to its terms.
6. Cancellation
You may cancel a subscription at any time by contacting us:
- By phone at (718) 726-0333.
- By email to info@mastertaxusa.com with “Cancel subscription” in the subject line.
- By writing to Master Tax USA INC, Attention: Billing, 2134 Broadway, Suite 101, Astoria, NY 11106.
Cancellation takes effect at the end of the billing period during which we receive your request. To avoid the next charge, send your cancellation request before that renewal date. We do not prorate or refund a billing period that has already been charged, except as stated in Section 7 or where a refund is required by law.
We may suspend or cancel a subscription at any time, including for non-payment, for a violation of these Subscription Terms or the Terms of Use, or where continuing would conflict with our professional obligations.
7. Refund policy
All sales are final and payments are non-refundable once the applicable product or service has been provided substantially as described at the time of purchase, except where otherwise expressly stated by Master Tax USA INC in writing or where a refund is required by applicable law.
For these Subscription Terms, services are treated as provided for a billing period once we have begun performing work for you in that period, including intake, document review, bookkeeping work, preparation work, research, correspondence with a tax authority on your behalf, or a scheduled consultation that we held or that you did not attend.
Because a subscription reserves professional capacity, fees are earned for the billing period as described above and are not refundable on the basis that you did not use the available capacity, that you changed your mind, or that an outcome differed from what you expected.
Nothing in this Section limits any right to a refund, cancellation, or other remedy that applicable law gives you and does not allow you to waive. If you believe you are entitled to a refund, contact us using the details in Section 12 and we will review the request.
8. Payment disputes and chargebacks
If you believe a charge is incorrect, contact us first at info@mastertaxusa.com or (718) 726-0333 within sixty (60) days of the charge, so we can review it with you. Contacting us first is a condition of these Subscription Terms; it is not a waiver of any right you have under your card agreement or applicable law to dispute a charge with your card issuer.
We may suspend services on an account with a disputed or reversed charge while the dispute is open. Where a chargeback is resolved in our favor, the amount charged back remains payable, and we may recover it together with any costs applicable law permits us to recover.
9. Your responsibilities
You are responsible for:
- Providing complete, accurate, and timely information and documents. We are entitled to rely on what you give us and are not required to audit or independently verify it.
- Reviewing any return, statement, or deliverable before it is signed, filed, or relied upon. You remain responsible for the content of your own returns and filings.
- Any tax, interest, or penalty assessed against you by a tax authority, including amounts arising from information that was incomplete, inaccurate, or provided late.
- Keeping your contact details and payment method current.
10. No guarantee of outcomes
We do not guarantee any particular outcome. Nothing on the Site, in a plan name, in a consultation, or in these Subscription Terms is a promise or guarantee of a refund amount, a tax saving, a deduction or credit being allowed, an audit or notice outcome, an acceptance by the Internal Revenue Service or any state or local tax authority, or any financial or business result. Tax positions depend on your facts and on law that changes.
Information produced with the assistance of automated or artificial intelligence tools may be incomplete or inaccurate and is not a substitute for review by a person. See Section 11 of the Terms of Use for the warranty disclaimer and Section 12 for the limitation of liability, both of which apply to subscriptions purchased under these Subscription Terms.
11. Disclaimers, liability, and general terms
The following sections of the Terms of Use are incorporated into these Subscription Terms and apply to your subscription: Section 11 (disclaimer of warranties), Section 12 (limitation of liability), Section 13 (indemnification), Section 14 (electronic communications and e-signature), Section 16 (pre-suit notice and good-faith negotiation), Section 17 (dispute resolution and governing law: New York law, Queens County venue), Section 18 (general provisions), Section 20 (changes), and Section 21 (force majeure).
Nothing in these Subscription Terms limits or excludes liability for gross negligence, willful misconduct, fraud, fraudulent misrepresentation, or any liability that cannot be limited or excluded under applicable law. Some jurisdictions do not allow certain disclaimers or limitations, so portions may not apply to you.
We may revise these Subscription Terms. The “Effective and last updated” date above reflects the most recent revision. A revision applies to billing periods beginning after it takes effect, and we will give notice of a material change by email or through the Site.
